Artikel 1. Definities

1.1 Opdrachtgever: iedere natuurlijke of rechtspersoon in opdracht van wie Industrial Strength International producten levert en/of diensten verricht.

1.2 Industrial Strength International: een onderneming gespecialiseerd in groot- en kleinhandel in stalen, titanium, glazen, acryl en organishe lichaamsjuwelen en toebehoren, verkoop onder andere via internet, gevestigd te Amsterdam.

1.3 Overeenkomst: iedere overeenkomst die tussen Industrial Strength International en opdrachtgever tot stand komt alsmede alle handelingen ter voorbereiding en ter uitvoering van die overeenkomst.

1.4 Producten: alle zaken van Industrial Strength International, waaronder begrepen documentatie, die het onderwerp zijn van een overeenkomst, of aanbieding of opdracht.

1.5 Order: Iedere opdracht van opdrachtgever aan Industrial Strength International, in welke vorm dan ook.

1.6 Website: de website van Industrial Strength International, www.isibodyjewelry.com.

Artikel 2. Toepasselijkheid

2.1 Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen van Industrial Strength International en op alle met Industrial Strength International aangegane overeenkomsten zowel national als international.

2.2 Van het in deze algemene voorwaarden bepaalde kan uitsluitend worden afgeweken indien dit uitdrukkelijk schriftelijk of elektronisch is overeengekomen, in welk geval de overige bepalingen van deze voorwaarden onverkort van kracht blijven.

2.3 Industrial Strength International behoudt zich het recht voor deze voorwaarden van tijd tot tijd te wijzigen of aan te vullen. Notificatie daarvan tref je aan bovenaan deze algemene voorwaarden.

2.4 Met het gebruik van de website van Industrial Strength International en/of het doen of plaatsen van een bestelling of opdracht aanvaardt de opdrachtgever deze algemene voorwaarden.

2.5 Deze algemene voorwaarden worden op aanvraag kostenloos verstrekt.

Artikel 3. Aanbiedingen en totstandkoming overeenkomsten

3.1 Alle aanbiedingen van Industrial Strength International zijn vrijblijvend. Indien een vrijblijvend aanbieding door de opdrachtgever wordt aanvaard, heeft Industrial Strength International het recht deze aanbieding binnen 5 werkdagen na kennisneming van de aanvaarding te herroepen. De reden van de herroeping zal bekend worden gemaakt aan de opdrachtgever.

3.2 De overeenkomst komt tot stand, door het plaatsen van een schriftelijke (e-mail), mondelinge (telefonisch) of elektronische (via de internetsite) bestelling dan wel opdracht aan bij Industrial Strength International en de aanvaarding van deze bestelling dan wel opdracht door Industrial Strength International door middel van een toegezonden orderbevestiging naar het door de opdrachtgever opgegeven e-mail adres.

3.3 De opdrachtgever en Industrial Strength International komen nadrukkelijk overeen dat door gebruik te maken van elektronische communicatievormen een geldige overeenkomst tot stand komt, zodra aan de voorwaarden van artikel 3.2 is voldaan.

3.4 Alle opgaven van Industrial Strength International van kleuren en materialen van producten zijn met zorg gedaan, toch zouden er zich terzake kleine afwijkingen kunnen voordoen in bijvoorbeeld kleur of, bij handgemaakte artikelen, in vorm. Wanneer opdrachtgever aantoont dat de geleverde producten zodanig afwijken van de opgaven van Industrial Strength International, heeft opdrachtgever het recht de overeenkomst te ontbinden.

Artikel 4. Levering en leveringstermijnen

4.1 Bestellingen worden zo snel mogelijk geleverd, doch pas na het verrichten van de vereiste betaling van opdrachtgever aan Industrial Strength International. Zodra de volledige betaling van opdrachtgever aan Industrial Strength International door Industrial Strength International is ontvangen, zal de bestelling zo snel mogelijk worden verzonden. Betaling wordt voldaan door middel van vooruitbetaling in Euro.

4.2 De door Industrial Strength International opgegeven aflevertermijnen zijn indicatieve, niet fatale termijnen. Industrial Strength International zal deze termijnen zo veel als mogelijk in acht nemen en uiterlijk leveren binnen 30 dagen. Indien deze termijn door omstandigheden niet haalbaar is zal de opdrachtgever geïnformeerd worden en zal er een alternatief geboden worden. De opdrachtgever mag in dit geval zijn opdracht dan wel bestelling kosteloos annuleren.

4.3 Industrial Strength International is gerechtigd de nakoming van diens verplichting/ verplichtingen op te schorten, zolang de opdrachtgever niet aan zijn betalingsverplichtingen aan Industrial Strength International heeft voldaan.

4.4 Indien een product dat tijdelijk niet op voorraad is door de opdrachtgever word besteld, zal worden aangegeven wanneer het product weer beschikbaar is. Vertragingen zullen door Industrial Strength International per e-mail worden gemeld.

4.5 Leveringen vinden wereldwijd plaats. Als plaats van levering geldt het woonadres van de opdrachtgever dat het laatst aan Industrial Strength International kenbaar is gemaakt, tenzij anders overeengekomen.

Artikel 5. Prijzen

5.1 Alle prijzen zijn uitgedrukt in Euro zonder Nederlands omzetbelasting (19%). Tenzij anders aangegeven komen separaat ten laste van opdrachtgever de kosten van verzending en verpakking welke apart worden aangegeven in de orderbevestiging op de website welke later ook per e-mail aan de opdrachtgever wordt verstuurd.

5.2 Speciale aanbiedingen zijn slechts geldig voor de geldigheidsduur zoals vermeld bij de aanbieding. Deze vermelding staat boven aan desbetreffende pagina met aanbiedingen op de website.

Artikel 6. Betaling

6.1. Bij bestellingen op de website kan worden betaald met behulp van de op de website vermelde betalingsmogelijkheden. Betalingen worden voldaan door middel van vooruitbetaling.

6.2. Industrial Strength International kan de betalingsmogelijkheden in de toekomst uitbreiden. Nieuwe betalingsmogelijkheden zullen kenbaar worden gemaakt op de website.

6.3 Wanneer opdrachtgever kiest voor een vooruitbetaling via overschrijving, dient opdrachtgever deze betaling binnen 30 dagen na het plaatsen van de bestelling te voldoen. Na het verstrijken van deze termijn is Industrial Strength International gerechtigd de overeenkomst te ontbinden.

Artikel 7. Ruilen en herroepingsrecht.

7.1 De opdrachtgever is verplicht de producten onmiddellijk na ontvangst nauwkeurig te inspecteren.

7.2 De opdrachtgever heeft het recht zonder boete of opgaaf van redenen een herroepingsrecht uit te oefenen binnen zeven (7) werkdagen na aflevering van het/ de product(en) in kwestie. Van dit herroepingsrecht zijn uitgezonderd producten waarvan de gesealde verpakking is geopend. Vanwege de aard van onze goederen kunnen we alleen teruggestuurde artikelen accepteren die ongebruikt en in de originele ongeopende/gesealde verpakking worden teruggestuurd. ALLE TERUGGESTUURDE ARTIKELEN MOETEN IN DE ORIGINELE ONGEOPENDE/GESEALDE VERPAKKING ZITTEN ANDERS NEMEN WIJ ZE NIET TERUG.

7.3 Indien de opdrachtgever van het herroepingsrecht zoals vermeld in het vorige lid gebruik heeft gemaakt en het product, de originele verpakking en de bijgeleverde accessoires zoals documentatie zonder (gebruiksschade) en deugdelijk verpakt (ongeopende/gesealde) aan Industrial Strength International retour heeft gezonden, dan draagt Industrial Strength International zorg voor de terugbetaling (binnen 30 dagen) van het door de opdrachtgever aan Industrial Strength International betaalde, inclusief eventueel betaalde verzendkosten.

7.4 De kosten voor het terugzenden van het/ de product(en) zijn voor rekening van de opdrachtgever.

Artikel 8. Eigendomsvoorbehoud

8.1 Eigendom van producten gaat, niettegenstaande de feitelijke aflevering, pas op de opdrachtgever over, nadat de opdrachtgever al hetgeen de opdrachtgever ter zake van enige overeenkomst met Industrial Strength International is verschuldigd, volledig heeft voldaan daaronder mede begrepen vergoeding van rente en kosten, ook van eerdere of latere leveringen en eventuele ter zake van de producten verrichtte of te verrichten werkzaamheden.

8.2 De opdrachtgever mag de producten, voordat de eigendom daarvan is overgegaan, niet belasten, verkopen doorleveren, vervreemden of anderszins bezwaren.

Artikel 9. Garantie en aansprakelijkheid

9.1 Indien de afgeleverde producten niet aan de overeenkomst beantwoorden, dan dient de opdrachtgever Industrial Strength International binnen een termijn van twee weken na aflevering dit per email mee te delen. Bij gebreke van een dergelijke mededeling vervalt elke aanspraak jegens Industrial Strength International.

9.2 Industrial Strength International beperkt haar aansprakelijkheid uit welke hoofde dan ook tot de factuurwaarde. Iedere overige of verdere aansprakelijkheid wordt uitgesloten, tenzij dit op grond van de wet niet is toegestaan. Industrial Strength International is nimmer aansprakelijk voor gevolgschade of indirecte schade.

9.3 Onverminderd het in dit artikel bepaalde, kan er geen sprake zijn van garantie indien de slijtage als normaal kan worden beschouwd en verder in de volgende gevallen, indien er veranderingen in of aan het product zijn aangebracht, of indien de originele factuur niet kan worden overlegd, is gewijzigd of onleesbaar gemaakt, of indien beschadiging is ontstaan door opzet of grove onachtzaamheid.

Artikel 10. Overmacht

10.1 In geval van overmacht is Industrial Strength International niet gehouden haar verplichtingen jegens opdrachtgever na te komen, respectievelijk wordt de verplichting opgeschort voor de duur van de overmacht.

10.2 Onder overmacht wordt verstaan elke van Industrial Strength International’s wil onafhankelijke omstandigheid, waardoor de nakoming van haar verplichtingen jegens de opdrachtgever geheel of gedeeltelijk wordt verhinderd. Tot die omstandigheden behoren onder meer niet of niet tijdige levering van toeleveranciers, bedrijfsstoringen en energiestoringen. Tevens wordt onder overmacht verstaan storingen in een netwerk of verbinding of gebruikte communicatiesystemen en/ of het op enig moment niet beschikbaar zijn van de website.

Artikel 11. Intellectuele eigendom

11.1 De opdrachtgever erkent uitdrukkelijk dat alle rechten van intellectuele eigendom van weergegeven informatie, mededelingen of andere uitingen met betrekking tot de producten en/of met betrekking tot de internetsite berusten bij Industrial Strength International, haar toeleveranciers of andere rechthebbenden.

11.2 Onder intellectuele eigendomsrechten worden verstaan octrooi-, auteurs-, merk-, tekeningen- en modellenrechten en/of andere rechten.

11.3 Het is de opdrachtgever verboden gebruik te maken, daaronder aanbrengen van wijzigingen begrepen, van de intellectuele eigendomsrechten zoals beschreven in dit artikel, zoals bijvoorbeeld verveelvoudiging, zonder uitdrukkelijke schriftelijke toestemming van Industrial Strength International.

Artikel 12. Persoonsgegevens

Industrial Strength International zal de gegevens van de opdrachtgever uitsluitend verwerken met inachtneming van de privacyregel- en wetgeving. Link naar privacyverklaring.

Artikel 13. Toepasselijk recht/bevoegde rechter

13.1 Op alle aanbiedingen en overeenkomsten zijn uitsluitend het Nederlandse recht van toepassing.

13.2 De toepasselijkheid van het Weens Koopverdrag wordt nadrukkelijk uitgesloten.

13.3 Alle geschillen verband houdende met of voortvloeiende uit aanbiedingen door Industrial Strength International of overeenkomsten gesloten met Industrial Strength International worden voorgelegd aan de bevoegde rechter te Amsterdam, tenzij de wet uitdrukkelijk een andere rechter als bevoegd aanwijst.

Article 1. Definitions

1.1 customer: every natural or legal person for which Industrial Strength International provides products.

1.2 Industrial Strength International: an established venture specializing in wholesale and retail trade in steel, titanium, glass, acrylic and organic body jewelry and accessories, for sale by means of the internet or mail order in Amsterdam.

1.3 agreement: every agreement which comes about between Industrial Strength International and a customer as well as all operations for preparation and in implementation of that agreement.

1.4 products: all matter of Industrial Strength International, among which understood documentation, which is the subject of an agreement, or offer or task.

1.5 order: Every agreement between the customer and Industrial Strength International to pay money for delivered goods.

1.6 website: the website of Industrial Strength International, www.isibodyjewelry.com.

Article 2. Relevance

2.1 these general conditions apply to agreements both international and domestic contracted on all offers of Industrial Strength International.

2.2 the general conditions stipulated can be deviated from if agreed upon explicitly in writing, in which case the provisions in the unabridged conditions remain effective.

2.3 Industrial Strength International preserves the right to modify these conditions from time to time. You will find notification of this on top of these general conditions.

2.4 with the use of the website of Industrial Strength International and/or placing an order the customer accepts these general conditions.

2.5 these general conditions are supplied on request for no charge.

Article 3. Offers and production agreements

3.1 all offers of Industrial Strength International are non-binding. If a non-binding offer is accepted by the customer, Industrial Strength International has the right to revoke this offer after 5 working days perusal of the acceptance. The reason for the revocation will be disclosed to the customer.

3.2 the agreement becomes valid & collectable after the customer receives an order confirmation transmitted to the customer supplied e-mail address from Industrial Strength International upon our acceptance of the order that the customer places through written (e-mail), oral (telephone), or electronic (through website) means.

3.3 the customer and Industrial Strength International expressly agree that by use of electronic communication a valid agreement comes about, as soon as the conditions of Article 3.2 have been met.

3.4 Industrial Strength International inspects all products to ensure that the colors and material of products are of premium, yet slight deviations may occur in color, or in form of hand-made Articles. Should the customer demonstrate to Industrial Strength International that the deviation is perceivable enough to conflict with what is represented on the website, Industrial Strength International will annul the agreement or replace the merchandise.

Article 4. Supply and delivery deadlines

4.1 orders are filled and delivered as soon as possible after Industrial Strength International receives the required completed payment from the customer. Payment is completed by means of payment in advance in Euro.

4.2 Industrial Strength International delivery dates given up are approximate, not definite periods. Industrial Strength International will observe these periods as much as possible and provide delivery within 30 days. If circumstances make this period not feasible the customer will be informed of the change in expected delivery date as soon as possible. The customer can cancel his order in this case free of charge.

4.3 Industrial Strength International is authorized to suspend their obligation to comply with an order as long as the customer has not met his payment obligations to Industrial Strength International.

4.4 if the customer orders a product that is temporarily not in stock, the order will indicate the date when the product will be available. Delays will be communicated to the customer from Industrial Strength International by e-mail.

4.5 shipments take place worldwide. Shipments will default to ship to the place of business where the customer has requested to receive the order in previous orders unless the customer specifies an alternate shipment location.

Article 5. To price

5.1 all prices have been expressed in Euro without Dutch VAT (19%). VAT and order shipping charges are indicated separately in the order confirmation on the website and later indicated in the email confirmation sent to the customer.

5.2 special offers that have been mentioned are only valid for the advertized term of that offer. This indication appears on the web page concerned with offers on the website.

Article 6. Payment

6.1. All orders made on the website can be paid using the payment possibilities mentioned on the website. Payments are satisfied by means of payment in advance.

6.2. Industrial Strength International can extend the payment possibilities in the future. New payment possibilities will be displayed & emphasized on the website.

6.3 when the customer chooses for payment in advance by means of transfer, the customer must satisfy this payment within 30 days after placing the order. After this period expires Industrial Strength International is entitled to annul the agreement.

Article 7. To exchange and Retract.

7.1 the customer is obliged to closely inspect the products immediately after reception.

7.2 the customer has the right fine or statement of reasons exercising retraction-rights within seven (7) working days after delivery of the product in question. Of this retraction-right, products of which the sealed packing has been opened are excluded. Because of the nature of our goods we can accept only articles which are returned unused and in original unopened/sealed packing. ALL RETURNED ARTICLES MUST BE IN ORIGINAL UNOPENED/SEALED PACKING.

7.3 if the customer has used the retraction-right as mentioned in the previous number and the product, original packing and the supplied accessories such as documentation without (use damage) and soundly packed have been returned (unopened/sealed) to Industrial Strength International, then Industrial Strength International will refund payment (within 30 days) of the customer to Industrial Strength International, including the possibility of paying shipping charges.

7.4 costs for returning the product are at the expense of the customer.

Article 8. Property reservation

8.1 Industrial Strength International maintains property of the products despite delivery to the customer until the customer has completed all payments on the products.

8.2 the customer cannot withhold the property from Industrial Strength International if the customer’s business dissolves as an entity.

Article 9. Guarantee and liability

9.1 if delivered products are not to the customer’s satisfaction, then the customer must communicate this within a period of two weeks after delivery to Industrial Strength International by e-mail. Failing such a communication each revendication expires towards Industrial Strength International.

9.2 Industrial Strength International limits its liability to the invoice value. Every remaining or further liability is excluded, unless this has not been permitted on the basis of the law. Industrial Strength International is never responsible for consequent damage or indirect damage.

9.3 notwithstanding in this Article, there can be no guarantee for normal wear and further in the following cases, if changes have been introduced to the product, or if damage has arisen by intentional or gross negligence, or if the original invoice cannot be submitted, has been modified or has been made illegible.

Article 10. supremacy (act of God)

10.1 in case of supremacy if Industrial Strength International cannot comply with its obligations towards the customer, the obligation is suspended for the duration of supremacy.

10.2 under supremacy it is understood that each obligation Industrial Strength International is unable to satisfy due to such circumstances will be dealt with independently of other obligations. These circumstances include service or supply of subcontractors, company malfunctions and energy outages. Also it is understood these circumstances include malfunctions in a network connection or communication systems temporary interruption of website availability.

Article 11. Intellectual property

11.1 the customer recognizes that all rights of intellectual property of reflected information, communications or other expressions concerning the products and/or concerning the website rests explicitly with Industrial Strength International, its subcontractors or other claimants.

11.2 under intellectual tenures are understood patents, authors, marks, drawings and model rights and/or other rights.

11.3 it is prohibited for the customer to use or modify the intellectual tenures as described in this Article, for example copying, without explicit written authorization of Industrial Strength International.

Article 12. Personal data: Industrial Strength International will process the data of the customer exclusively taking into account the privacy rules and legislation. Please read privacy declaration.

Article 13. Appropriate right/competent judge

13.1 on all offers and agreements Dutch Law applies exclusively.

13.2 relevance of the Viennese Buy Treaty are expressly excluded.

13.3 all disputes linked to, concerning, or resulting from orders with Industrial Strength International or agreements closed with Industrial Strength International are presented to the competent judge in Amsterdam, unless the law explicitly designates another judge as competent.
